1. General Agreement

These Terms and Conditions ("Agreement") constitute a legally binding agreement between you ("User" or "Customer") and Niya Audio ("Company," "we," "us").

By accessing or using NiyaSuite services (Fusion, Stems, Cast, Fission, Forge, Kits), you acknowledge that you have read, understood, and agree to be bound by this Agreement.

Merchant of Record

Our order process is conducted by our online reseller DodoPayments. DodoPayments is the Merchant of Record for all our orders. All payments, taxes, and initial transaction disputes are handled via the DodoPayments platform in accordance with their Terms of Service.

2. Purchases & Service Usage

2.1 À La Carte Purchases

À la carte purchases provide a fixed number of service runs as described at the time of purchase. Runs do not expire and remain available until used. Purchases are non-refundable and non-transferable between accounts.

2.2 Subscriptions

Subscriptions provide a monthly allotment of service runs as described in the plan selected at signup. Allotments reset each billing period and do not rollover. Subscriptions renew automatically until cancelled. You may cancel at any time — your access continues through the end of the current billing period.

2.3 Fair Use

You agree to use NiyaSuite services for legitimate audio processing purposes only. Prohibited uses include:

• Processing audio you do not have rights to use.
• Attempting to bypass credit requirements or abuse the service.
• Uploading malicious files or content that violates applicable laws.

3. NiyaSuite Services

Applicable to all NiyaSuite cloud-based audio processing services.

3.1 Service Availability

We strive for high availability across all NiyaSuite services. However, we do not guarantee uninterrupted service. We reserve the right to suspend service for maintenance with reasonable notice.

3.2 User Data & Privacy

Audio files uploaded to NiyaSuite are processed automatically. We do not claim ownership of your music. Files are retained only as long as necessary to complete processing and allow for download, after which they are deleted from our servers.

3.3 Processing Results

Results vary based on input audio quality and complexity. While we strive for professional results, output quality depends on the source material provided.

4. Sales & Refunds

4.1 Purchases

All purchases are for digital goods delivered immediately upon payment. Due to the nature of our services, purchases are non-refundable once processing has begun.

Refund requests for unused purchases may be considered on a case-by-case basis within 14 days of purchase if no processing has occurred.

4.2 Failed Processing

If a processing job fails due to technical issues on our end, the service run will be returned to your account automatically.

4.3 Taxes

Sales tax, VAT, or GST is calculated and collected by DodoPayments based on your location at the time of purchase.

5. Intellectual Property

The NiyaSuite platform, including its DSP algorithms, user interface, and "Niya" branding, is protected by copyright laws and international treaties. Ownership remains with Niya Audio.

You retain all rights to your original audio content. We do not claim ownership of any music or audio you upload.

6. Liability & Governance

6.1 Limitation of Liability

To the maximum extent permitted by law, Niya Audio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of our services.

6.2 Governing Law

These Terms shall be governed by and defined following the laws of the State of Tennessee, United States of America. Niya Audio and yourself irrevocably consent that the courts of Tennessee, United States of America shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
